Roedd pedwar syrfëwr siartredig wedi sefydlu busnes fel Partneriaeth Atebolrwydd Cyfyngedig (yr ‘LLP’). Mae dau ohonynt yn aelodau dynodedig (designated members) ac mae dau yn aelodau cyffredin o’r LLP ac mae pob un yn gweithio’n llawn amser. Mae’r aelodau i gyd yn cyfarfod yn ffurfiol unwaith y mis i drafod elw a cholled, llif arian a rhagolygon ariannol. Mae’r wybodaeth ariannol hon wedi nodi nad yw’r LLP yn gallu talu ei dyledion ar gyfer y 12 mis diwethaf. Mae’r LLP wedi parhau mewn busnes, ac mae’r aelodau wedi trafod ffyrdd o gyfyngu ar gostau. O ganlyniad, maent wedi gwneud gostyngiadau sylweddol o ran gwariant y swyddfa. Mewn un cyfarfod (‘y Cyfarfod’) ychydig fisoedd yn ôl, awgrymodd un o’r aelodau cyffredin (‘yr Aelod Cyffredin’) y dylent gael cyngor ariannol a/neu gyfreithiol ar eu sefyllfa. Gwrthodwyd yr awgrym hwn ar y sail y byddai’n rhy ddrud.
Caiff datodwr (liquidator) ei benodi i ddirwyn yr LLP i ben yn sgil ansolfedd (insolvent winding up). Mae’r datodwr o’r farn ei bod hi’n glir nad oedd unrhyw obaith rhesymol ar ddyddiad y Cyfarfod y byddai’r LLP yn osgoi diddymiad ansolfent (insolvent liquidation) ac mae’n ystyried a ddylid cyflwyno hawliad am gamfasnachu (wrongful trading) yn erbyn yr holl aelodau.
Pa un o’r canlynol y mae’n rhaid i’r Aelod Cyffredin ei ddangos i sefydlu amddiffyniad yn erbyn hawliad y datodwr?
A. Ei fod ef wedi cymryd pob cam rhesymol i leihau gwariant yr LLP.
B. Gan nad yw ef yn aelod dynodedig, mae ganddo atebolrwydd cyfyngedig (limited liability) ac ni ellir ei gwneud hi’n ofynnol iddo gyfrannu at asedau’r LLP.
C. Ei fod ef wedi cymryd pob cam i leihau’r golled bosibl i gredydwyr yr LLP.
D. Ei bod hi’n rhesymol bod yr LLP yn parhau i fasnachu gan ddisgwyl y byddai busnes yr LLP yn gwella.
E. Gan nad yw’n aelod dynodedig, nid oedd ganddo fynediad at yr holl wybodaeth angenrheidiol i benderfynu a oedd y busnes yn ansolfent.
C - Ei fod ef wedi cymryd pob cam i leihau’r golled bosibl i gredydwyr yr LLP.
